Terms of Service
Last updated
In short: 50% to start, 50% before final files. Two rounds of revisions are included. Cancel within 7 days of paying the advance, before work starts, and 80% is refunded. Once your video is paid for, you get unlimited commercial use of it. We tell you what needs an AI label, and you declare it when you upload. These terms work the same for clients anywhere: Indian law applies, and if we cannot agree, we talk first, then arbitration in India.
1. About these terms
Nazia Digital is a sole proprietorship owned and run by Nazia, registered with Udyam (MSME) and based in India ("we", "us"). These terms are between us and the person or business that commissions work from us ("you"). They apply to every project unless we both agree something different in writing.
Our services are for businesses and professional use. If you are an individual commissioning work for your own business or profession, these terms apply to you in the same way.
Your written quote sits on top of these terms. Where the two disagree, the quote wins for that project.
A contract between us begins when you accept a quote in writing (an email reply counts) or pay the advance, whichever comes first. Under India’s Information Technology Act, 2000, a contract formed by email or electronic payment is as valid as a signed paper one.
Definitions
- "Quote" means the written quote or proposal we send you for a project, including any agreed changes.
- "Advance" means the first payment under a quote, normally 50% of the project fee.
- "Production" means generating and editing your video. It begins after the advance is received and the brief and script are approved, and we tell you when it starts.
- "Deliverables" means the finished, approved video files described in the quote.
- "Working day" means a day other than a Sunday or a public holiday in India.
- "In writing" includes email.
2. What we deliver
We produce video content using a combination of AI generation tools and conventional editing, sound and colour work. Each quote sets out the format, length, number of variants and delivery formats for that project. A quote is valid for 14 days unless it says otherwise.
Unless your quote says otherwise, the following are not included:
- Media buying, ad account management, or running the campaign
- Licensed music beyond royalty-free tracks
- Physical shoots, actors, locations or props
- Translation or subtitling into additional languages
- Source or project files, which stay with us (see Intellectual property and usage rights)
- Ongoing edits after the project is delivered and closed
Any of these can be added, quoted separately. A change to the agreed scope is quoted and agreed in writing before we do it. Prices shown on this website are a guide. The price that applies to your project is the one in your written quote.
3. What we need from you
We can only deliver on time if we get what we need on time: a clear brief, accurate product information, the materials you want used, and prompt feedback.
By commissioning work from us, you confirm that:
- You own or have permission to use everything you send us: product images, footage, logos, music, brand assets and copy.
- Any factual claim you ask us to make about your product is true and you can substantiate it. We produce the video; you stand behind the claims in it.
- Where the video features a real person’s face or voice, you have that person’s written consent, or you have told us so we can obtain it.
- You will comply with the advertising rules and platform policies that apply where you run the video.
4. Timelines
Our published turnaround, typically 3 to 5 days for a first cut, starts when two things have happened: the advance payment has cleared, and the brief and script are approved. It does not start from your first enquiry.
If you take time to send feedback or approve a stage, the delivery date moves by the same amount. We will tell you when that happens rather than let a date quietly slip.
5. Fees and payment
Unless your quote states otherwise: 50% of the project fee is payable before production begins, and the remaining 50% is due before final files are released. We invoice the balance when the agreed revisions are complete and the video is ready for final delivery.
Prices quoted are exclusive of any applicable taxes. Where tax applies, it will be shown separately on your invoice.
Payment is made by bank transfer, UPI or, where we offer it, through the online payment gateway on this website, as shown on your invoice. A payment gateway is run by its provider under its own terms; we do not see or store your card details or banking credentials. Any bank charges or currency conversion costs on international payments are yours. If the law requires you to deduct tax at source from a payment, please give us the certificate so we can claim credit for it.
We are registered with Udyam (MSME). Where the Micro, Small and Medium Enterprises Development Act, 2006 applies to your payment, the balance must be paid within the agreed time and in any case within 45 days, and interest at the rate set by that Act applies by law to late payment.
If an invoice is overdue, we may pause work on your project until it is paid. We will tell you before we do.
Monthly retainers are billed in advance at the start of each month, and the terms in your quote apply. Unless your quote says otherwise, you can end a retainer by telling us in writing before the next month is billed. A month already paid for is not refunded once work on it has begun, unless we fail to deliver it.
6. Revisions and approval
Two rounds of revisions are included in every project, unless your quote says otherwise.
Revisions cover refinements to work already agreed: pacing, wording, colour, music choice, trimming, reordering. They do not cover a change of direction, such as a new script, a different concept or a different product. That is new work and is quoted separately. Additional rounds beyond the included two are available and will be quoted before we start them.
When you approve a version in writing (email counts), or use it publicly, it is final and any further change is new work.
If we have not heard from you for 30 days after we sent a draft or asked you a question, we may close the project. We will warn you first. A project closed in this way is treated as cancelled by you at that stage, as set out in the next section.
7. Cancellation and refunds
You can cancel at any time by telling us in writing. What happens to your advance depends on when you cancel.
| When you cancel | What happens |
|---|---|
| Within 7 days of paying the advance, before production has begun | 80% of the advance is refunded. We keep 20% for booking, scheduling and administration |
| More than 7 days after paying the advance, before production has begun | The advance is not refunded |
| After production has begun | The advance is not refunded |
| After first delivery | The advance is not refunded, and the balance remains due for the work completed |
If we have to cancel, because we cannot deliver or because the project turns out to require something we will not produce (see AI-generated content and compliance), you get a full refund of anything you have paid for work not delivered.
If a delivered video does not match the agreed brief, or has a technical fault, tell us within 14 days of delivery and we will put it right at no charge. That is not counted as a revision round. If we cannot put it right, the part of the fee for that work is refunded.
Refunds are paid back by the method you paid with. The details, including timing, are set out in our Refund and Cancellation Policy.
8. Intellectual property and usage rights
Draft and review files are supplied watermarked. Clean master files are released when the final payment has been received. Until then, no right to use the work is granted, and using watermarked drafts publicly before payment is a breach of these terms.
On receipt of full payment, we grant you an unlimited, perpetual, worldwide, irrevocable licence to use the finished video commercially. You can run it as an ad (paid media included), put it on your website, post it on social platforms and use it in any market, for as long as you like, with no further payment to us. You may let your agencies, contractors and the advertising platforms use it on your behalf, and the licence passes with your business if you sell it. We will not sell or license your finished video to anyone else.
Where our website says "full commercial rights", this licence is what it means.
Your materials stay yours. You allow us to use them to make your video and, as set out below, to show the finished work.
Our working files, prompts, project files, drafts, unused material, templates and methods stay ours. You receive the finished, approved deliverables. Source and project files can be supplied if agreed in your quote. Music, fonts and similar elements are licensed to us for use in your video and are not separately licensed to you.
We may show the finished work in our portfolio and marketing, unless you tell us before we start that your project is confidential. We will not use your name or logo as a client reference without your permission.
9. AI-generated content and compliance
Our videos are produced using AI tools. This carries obligations for both of us, set out in full in our AI Content Policy. In summary:
- We tell you, before delivery, whether your video needs an AI disclosure label under Indian advertising rules, and we supply the wording.
- We do not remove or obscure AI provenance metadata that the generation tools embed.
- Unless we are managing publishing for you, declaring AI-generated content when you upload to Meta, YouTube, Instagram or any other platform is your responsibility.
- We will not produce content that fabricates a testimonial, exaggerates what a product actually does, or uses a real person’s likeness without their written consent.
If a script you ask for would breach those rules, we will tell you and offer an alternative that achieves the same thing compliantly. If no compliant version is possible, we will decline the project and refund anything paid for undelivered work.
10. Your materials, AI tools and confidentiality
To make your video, your materials are submitted to third-party AI services. Those providers may collect, keep and use what is submitted under their own terms and privacy policies, which we do not control. We therefore cannot guarantee the privacy or confidentiality of material once it is submitted to an AI tool. If your materials are confidential or must not go to a particular tool, tell us before we start, or do not send them. More detail is in our Privacy Policy.
We treat your product information, launch plans and anything else you share as confidential, and we will not disclose it to anyone except as needed to make your video (including the AI services and any subcontractors, who are bound to the same standard). This continues after the project ends. It does not apply to information that is already public, or that we are legally required to disclose.
11. Free sample video draw
We run a free draw for a short sample video of your own product or service. These rules apply to it.
- How to enter: send the quote form on our Contact page with a link to your product or service. Entry is free. Nothing is staked, you do not have to pay or buy anything, now or later.
- Who can enter: businesses, and individuals aged 18 or over. One entry per business per week. The draw is open only where the law allows it.
- The week: each draw covers one week, from Monday 00:00 to Sunday 23:59 Indian Standard Time.
- How winners are chosen: every Monday, 1 entry is drawn at random from the previous week’s eligible entries, using a random selection method such as a random number generator. Every eligible entry has the same chance. If a week has no eligible entries, there is no draw that week.
- Winners are told by email, at the address on the entry, and we will give the sample to each winner as described here. On request we will confirm that a draw was held and that its winner was told.
- We may decline an entry that is incomplete or not genuine, or for a product we would not advertise under our AI Content Policy.
- What you win: one short sample video of your product, made at no cost to you. We decide its length, format and style. There is no cash alternative, and the prize cannot be transferred to someone else.
- Using the sample: once you receive it, you may use it for your own business, including in ads. The AI labelling rules in our AI Content Policy apply to it like any other video.
- Entering does not commit you to anything, and does not change any quote we give you.
- Your details are used as set out in our Privacy Policy.
- We may change or end the draw at any time. Entries made before a change are handled under the rules that applied when they were made.
12. Our commitments, and what we cannot promise
We will carry out the work with reasonable skill and care, and deliver what your quote describes. We review each video before delivery and fix the issues we find.
There are things we cannot promise, and it is fairer to say so plainly:
- Commercial results. We cannot guarantee how a video performs, what it sells, or how a platform’s algorithm treats it.
- Platform approval. We cannot guarantee that a platform will accept, run or keep running your ad, and we do not control changes platforms make to their policies.
- Uniqueness. AI generation is not perfectly predictable. We take reasonable care to avoid including third-party material we have no right to use, but we cannot promise that no one else will produce something similar, or that generated output is protected by copyright.
- Third-party tools. AI services and other tools are provided by others, and their availability and terms can change.
Nothing in these terms takes away a right you have under law that cannot be excluded.
13. Limits on our liability
- Our total liability to you for any project is limited to the fees you paid us for that project.
- We are not liable for losses that are indirect or consequential, such as lost profits, lost sales or lost opportunities.
- We are not liable for a platform rejecting, restricting or removing your ad.
- To the extent the law allows, we are not liable for how a third-party AI provider or payment gateway collects, keeps or uses information submitted to it.
Nothing here limits liability that cannot lawfully be limited, including liability for fraud.
14. Claims about your materials
If a third party makes a claim against us because of material you supplied, a claim you asked us to make, or the way you use the video, you agree to cover our reasonable costs of dealing with it, including legal costs. We will tell you promptly about the claim and give you a fair chance to deal with it.
15. General
- Events outside our control: neither of us is responsible for delays caused by things we cannot reasonably control, such as power or internet outages, an AI tool becoming unavailable or changing its terms, or government action. We will tell you promptly and agree a new date, or refund work not delivered if the project cannot go ahead.
- Subcontractors: we may use freelance editors or other subcontractors. We remain responsible for their work and they are bound by confidentiality.
- Notices: notices under these terms may be sent by email to the address on your quote, and to support@naziadigital.com for us.
- Entire agreement: these terms and your written quote are the whole agreement between us for a project. Any change needs to be agreed in writing, and email counts.
- If any part of these terms turns out to be unenforceable, the rest still applies. If we do not enforce a term straight away, we have not given up the right to enforce it later.
- Payment, usage rights, confidentiality and the limits on liability continue to apply after the project ends.
- We work as an independent business, not as your employee or agent.
16. Clients outside India
We provide our services from India to clients worldwide. If you are outside India:
- These terms apply in full and are governed by Indian law, and disputes are resolved by arbitration in India as set out in Disputes and governing law.
- Prices, invoices and payments are in the currency stated in your quote. Taxes, duties and withholdings imposed in your country are your responsibility.
- Deadlines and working days follow Indian Standard Time and Indian working days, unless your quote says otherwise.
- You are responsible for complying with the advertising, consumer and data-protection laws of the countries where you run the video, which may differ from India’s.
- These terms are written in English. If they are translated, the English version prevails.
17. Using this website
The articles, guides and prices on this website are general information to help you plan. They are not legal, tax or financial advice. Advertising rules and platform policies change often, so check the current rules, or ask a professional, before relying on them for a decision.
The text, design and other original material on this website belong to Nazia Digital. You are welcome to quote short extracts with a link back. Please do not copy whole pages or present our work as your own.
18. Disputes and governing law
If something goes wrong, tell us first at support@naziadigital.com. Most problems are a misunderstanding about scope and are solved in one conversation. We will acknowledge within 48 hours and work with you to resolve it.
If we cannot settle it within 30 days of your written notice, the dispute goes to arbitration under the Arbitration and Conciliation Act, 1996:
- The seat and venue of arbitration is in India, and the language is English.
- There will be a sole arbitrator, chosen by agreement between us. If we have not agreed within 15 days of a written request, the arbitrator is appointed as the Act provides.
- The fast-track procedure under section 29B of the Act applies, so that the dispute is decided on documents unless the arbitrator decides a hearing is needed.
- Each of us bears our own costs, and the arbitrator may apportion the arbitration costs between us.
- Where one of us is outside India, the arbitration is an international commercial arbitration under Part I of the Act, still seated in India. India is a party to the New York Convention, so the award can be enforced in the more than 170 countries that are also parties.
- The award is final and binding on both of us.
Nothing in this section stops us from referring unpaid amounts to a Micro and Small Enterprises Facilitation Council where the MSMED Act applies.
Either of us may ask the courts for urgent interim relief, for example to protect confidential information. For that, and for enforcing an award, the courts in India have exclusive jurisdiction. These terms are governed by the laws of India.
If you are a consumer under Indian law, nothing in this section limits the rights or remedies you have under the Consumer Protection Act, 2019.
19. Changes to these terms
We may update these terms. The version that applies to your project is the one published when your project was confirmed. Changes are not applied retroactively to work already agreed.
